Voice2Page Terms of Service Agreement

VOICE2PAGE - TERMS OF SERVICE AGREEMENT   
  
I understand that the Voice2Page.com system is a proprietary system created by V2P Communications Inc., (The Company) and that any and all information pertaining to the system is the exclusive property of the Company. Such systems and information may include, without limitation, all documents and materials, whether printed, graphic, or in machine-readable form, source or object code, or other tangible form, which is disclosed by Voice2Page.com or its affiliates, relating to the development of certain software systems and technology relating to communication systems and services initially for the exchange of information between buyers and sellers via electronic means or any other means now known or hereafter devised, including, without limitation, all processes, hardware, software, inventions, know how, business methods, pricing, operating, performance, non-public technical and business information, financial statements, appraisals, list of inventories, list of clients or customers, business plans or forecast strategies, production plans and marketing plans relating thereto (the "Information" or the "System".)  I hold Voice2Page.com and V2P Communications Inc., harmless for any and all injury incurred, either financially or personally, as a result of my use of the Voice2Page.com services, recording system and its technology.      
  
In consideration of the disclosure of any proprietary information that I may come in contact with, and the activation of my voice services, I understand and agree to the following terms and conditions:   
  
1. Voice2Page reserves the right to refuse services. We not process voice files with vulgar language, outright rudeness, profanity, or hate messages. We reserve the rights to scan and review phone-recorded voice messages. If you post a recording that is not acceptable your voice file may not be processed or uploaded for playback on your page or website. We may or may not notify you of this condition, you will simply not hear your voice message or it will discontinue playing on your site. Voice2Page reserves the rights to permanently suspend habitual offenders. So, please respect the ears of others. We are not in the business of censoring voice recordings; we simply will not process your file if it is not within the guidelines of our Terms of Service Agreement.
  
2. Voice2Page is not responsible for the contents of your or anyone else's personalizes voice greeting. Voice2Page has no control whatsoever of who hears or plays your recorded voice messages. Contents of recorded voice messages are at the sole discretion of each and every member who subscribes to Voice2Page services. Nevertheless, we have mechanisms for reporting users who violate the voice recording guidelines.      
  
3. I understand that Voice2Page.com reserves the right to change or modify the terms of this Agreement or deny services to anyone, without notice, for any reason, including but not limited to any unusual use of bandwidth and/or spamming.

4. I understand that I am responsible for providing Voice2Page.com with accurate contact and/or payment information at all times. Voice2Page.com is not responsible for service interruptions that may result from my contact or payment information becoming out-of-date.

5. If I elect to subscribe to special audio services, I authorize Voice2Page.com to charge the credit card listed in my online application form for such services provided on a monthly basis, and for any past due balances that may accrue in order to bring the account balance current.  I understand that PayPal and credit card subscription payments shall be billed and charged automatically.  Voice2Page.com may charge my PayPal or credit card account at any time for any outstanding invoice.

6. I also understand that accounts are considered past due when payment is not received within 3 days after the date of invoice.  I understand that accounts that remain unpaid after 7 days may have their service interrupted or terminated.  Such interruption or termination does not relieve me from financial obligation to pay the monthly charge. Outstanding balances are subject to a $10 late fee.  I agree to pay Voice2Page.com all reasonable expenses, including attorney and collection agency fees incurred by Voice2Page.com to enforce the terms and conditions of this Service Agreement.

7. I agree that all information, audio recordings, files and emails may be deleted or modified from an unpaid account 10 days past due or when my membership is terminated by either party. If I choose to use Voice2Page.com service again thereafter, I must reapply as a new member using another email account.

8. I acknowledge that I can obtain one free voice service account and that my Voice2Page services cannot be transferred or used by anyone other than me. Free membership accounts are limited to one per person. I understand that any membership found in violation shall be subject to immediate termination.

9. I agree that Voice2Page shall have the right to suspend my service at any time for any reason without any prior notice.  If service is to be suspended for more than 15 days, Voice2Page will attempt to notify you in advance as to the reason.

10. I understand that I may cancel my voice subscription services at any time, without reason and that I am required to use the Subscription Cancellation Procedures Form when canceling my Membership.  Cancellation is considered in effect when confirmed by Voice2Page.com and will not be renewed for the following month.  Cancellations of services is non-refundable, nevertheless, service will not be billed for the following month.

11. I understand that Voice2Page.com may or may not issue a one-time full refund of my membership fees, at its sole discretion, and will not refund any surcharged service charges, including but not limited to toll-free access usage, recording credits or subscription membership fees. It is not our policy to refund accounts that have all ready been used, compromised or accessed for recording purposes.

12. I understand that Voice2Page.com reserves the right to change its ongoing subscription service rates without notice. Nevertheless, rates will be posted in the member’s area of the website. I understand that my monthly service rates will not change on my credit card or PayPal billing without proper notification.

13. I understand as a free service user, that Voice2Page.com reserves the right to utilize its system from time-to-time on an ongoing basis for promotional, advertising and marketing purposes. Free service accounts can and will include audio advertising content provided by NetAudioAds.com. I understand that as free service user, I have been provided options for eliminating audio advertising, and may elect to exercise these options at any time. The “Voice2Page Intro Sound – Dong”, is played on all free service accounts.

14. I understand that if I am dissatisfied with the service or with any terms, conditions, rules, policies, practices or guidelines of Voice2Page.com in providing services, I understand that my sole and exclusive remedy is to discontinue using the Service.

15. I understand that Voice2Page accepts no responsibility or liability whatsoever for recorded-over, lost or deleted voice messages. Should a user's voice account be unused, deactivated, terminated or expired, Voice2Page reserves the rights to change, alter or delete files of said voice service accounts. All uploaded and system recorded data files become the property of Voice2Page Communications. Upon expiration or termination of a users voice service account, it should be known that, Voice2Page Communications also reserves the right to permanently erase or delete voice accounts and its related voice data files. Deleted or erased audio files are considered lost forever. I also understand that Voice2Page provides audio codes for voice play back on Internet sites, and these codes are recycled if left unused for more than 30 days from activation. It is my 100% responsibility to remove audio codes from my sites whenever my services are unused, discontinued or terminated.

16. I understand that, Voice2Page is not a downloadable music catalog or music distribution website. We have no music selections menus or downloading options. Nevertheless, Voice2Page enables registered users to record audio via telephone and in some cases, the ability to upload audio files for playback over the Internet. All registered Voice2Page users are responsible for the contents of their own phone recorded and uploaded audio. It should also be known; Voice2Page clearly prohibits the uploading of music and unauthorized copyrighted content. In cases of reported copyright infringements, Voice2Page reserves the rights to remove any and all related material in question. Repeat offenders may face suspension or termination of voice services provided by Voice2Page in accordance with our Terms of Service Agreement.

17. I understand that I cannot become a Voice2Page Affiliate Member, without prior written consent and/or approval of Voice2Page.com. Any member can convert to a subscribing affiliate membership, provided they accept the term of membership. As an Affiliate member, absolutely no spamming is allowed and it will not be tolerated.

Disclaimers:  We make no express or implied warranties or representations with respect to our free membership or subscription voice services. In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Modification: We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on our site.  IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO VOLUNTARY TERMINATE THIS AGREEMENT. CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE YOUR BINDING ACCEPTANCE OF THE CHANGE.

BY REGISTERING FOR THE VOICE2PAGE.COM SUBSCRIPTION VOICE SERVICES, I HEREBY ACKNOWLEDGE THAT I HAVE READ AND FULLY UNDERSTAND THIS USAGE AGREEMENT AND AGREE TO ALL OF ITS TERMS AND CONDITIONS.   
  
Miscellaneous: This Agreement will be governed by the laws of the United States and the state of Nevada, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Las Vegas, NV and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

Louisiana residents only: In the event of a dispute for jurisdictional purposes, a distributor shall be entitled to file an ad judicatory claim or lawsuit in the jurisdiction of Louisiana and the governing law shall be Louisiana law.
